These terms of use ("Terms") govern your use of our platform, owned by Purchs Inc., which includes our web app and its integrated communication channels including conversational AI. Vendors ("Vendors") offer products for sale to merchants ("Merchants") through our platform. By using our services, you agree to abide by these Terms.

1. User Conduct and Respect

Users must respect and comply with all applicable laws and regulations while using our platform.

Harassment, abuse, or any form of disrespect towards other users, vendors, or our team will not be tolerated.

Users are prohibited from misrepresenting their identity or affiliation with any entity.

Harmful, illegal, or offensive content must not be uploaded or shared.

Attempts to interfere with the platform's operations, such as hacking, data mining, or spreading malware, are strictly forbidden.

Users are expected to maintain a respectful and courteous demeanor in all interactions within the platform.

2. Intellectual Property and Trademarks

All content on the platform, including text, graphics, logos, and software, is the property of Purchs or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, or distribute any content without our explicit permission.

The trademarks, logos, and service marks displayed on the platform are the property of Purchs and its licensors.

Unauthorized use may violate applicable laws.

3. Cookies

Purchs uses cookies and similar tracking technologies to enhance your experience on our platform.

By using our platform, you consent to our use of cookies in accordance with our Cookie Policy.

You may manage your cookie preferences through your browser settings.

4. Account Registration

Both Vendors and Merchants must create an account to use our platform.

You are responsible for keeping your account information confidential and for all actions taken under your account.

5. Vendor Responsibilities

Vendors must provide accurate and complete product information.

Vendors are responsible for managing their inventory and fulfilling orders in a timely manner.

Vendors must comply with all applicable laws and regulations related to the sale of their products.

Vendors may not sell prohibited or unregulated products.

6. Merchant Responsibilities

Merchants must provide accurate shipping and billing information.

Merchants are responsible for reviewing product details before placing an order.

Merchants must comply with all applicable laws and regulations related to purchasing products.

7. Ordering and Payment

Orders are binding once placed by Merchants and accepted by Vendors.

Payments processed through Purchs are covered by our platform policies.

Payments made outside of Purchs are the responsibility of the parties involved.

Purchs is not responsible for unpaid orders.

8. Shipping and Delivery

Vendors are responsible for shipping products to Merchants in a timely manner.

Shipping costs, methods, and delivery timelines are determined by the Vendor.

Merchants must report delivery issues promptly.

9. Returns and Refunds

Vendors must clearly outline their return, credit, and refund policies.

Merchants must follow the Vendor’s process.

Disputes may be directed to Purchs support.

10. Prohibited Activities

You may not use our platform for any unlawful or fraudulent activities.

You may not misrepresent your identity or affiliation.

You may not interfere with the operation or security of the platform.

11. Limitation of Liability

Purchs is not liable for any indirect, incidental, or consequential damages arising from the use of our platform.

Our liability is limited to the amount paid to use our platform in the past 12 months.

12. Indemnification

Merchants and Vendors agree to indemnify and hold Purchs harmless from any claims arising from their use of the platform.

13. Cancellation Policy

Vendors and Merchants may cancel their accounts at any time.

No refunds will be provided for any remaining term after cancellation.

14. Termination

Purchs reserves the right to suspend or terminate accounts for violations of these Terms.

Upon termination, you must cease use of the platform.

15. Communication

By using Purchs, you agree that we may contact you via email, SMS, or other methods regarding your account, orders, and important updates.

You may opt out of non-essential communications.

16. Product Data and Marketplace Visibility

Purchs may store product information, including product names, pricing, pack sizes, and order details, for the purpose of facilitating orders and improving future transactions.

This information may be visible only to the Merchant who placed the order and their authorized users.

Purchs will not publicly display or list a Vendor’s products in the Purchs marketplace without the Vendor’s consent or account registration.

Vendors who create an account may choose to make their products discoverable to other Merchants through the marketplace.

Purchs does not claim ownership of Vendor product data but may use this data internally to support ordering, platform functionality, and service improvements.

Purchs will not share Vendor-specific product data with other Merchants or third parties in a way that identifies the Vendor without explicit permission.

17. Fee Changes

Purchs reserves the right to change fees with at least 30 days’ notice.

18. Changes to Terms

We may update these Terms from time to time. Continued use of the platform constitutes acceptance of those changes.

19. Governing Law

These Terms are governed by the laws of Ontario, Canada.
